SUBJECT TO COMPLETION OF A STAINED-GLASS WINDOW OR OTHER MEMORIAL IN THE CHURCH OF ST HELEN, LEA, GAINSBOROUGH, LINCOLNSHIRE DN21 5EG (THE "CHURCH") PURSUANT TO CLAUSE 5 OF THE WILL DATED 14 APRIL 2016 OF NIGEL BERNARD DICKENSON MARSHALL (THE "WILL") AS MODIFIED BY HIS CODICIL DATED 29 OCTOBER 2016, WHICH STAINED-GLASS WINDOW WAS DULY COMPLETED AND ON 7 FEBRUARY 2022 APPROVED BY THE TRUSTEES, AS TO £1,000,000 (THE "CHURCH FUND") FOR SO LONG ONLY AS: (1) THE GRAVES AND GRAVESTONES IN THE CHURCHYARD OF THE CHURCH OF HIS FATHER, MOTHER AND HIMSELF ARE PROPERLY MAINTAINED; AND: (2) THE TRUSTEES BELIEVE THE CHURCH IS BEING USED FOR ECCLESIASTICAL PURPOSES AND CHURCH OF ENGLAND RELIGIOUS SERVICES AT LEAST ONCE EACH WEEK FOR 40 WEEKS OF THE YEAR PURSUANT TO CLAUSE 6.1 OF OF THE WILL, TO APPLY THE INCOME OF THE CHURCH FUND ON THE ACQUISITION OF SPECIFIC ITEMS OF FURNITURE OR FABRIC FOR THE CHURCH INCLUDING WORKS OF RECONSTRUCTION AND MAJOR REPAIRS TO ANY PART OF THE FABRIC THEREOF, BUT NOT ON GENERAL MAINTENANCE, AND ON ANY TRANSFER OF THE CHURCH FUND TO TO THE DIOCESAN TRUST OR SIMILAR INSTITUTION THE CHURCH FUND SHALL DETERMINE.2. TO APPLY THE INCOME OF THE RESIDUE OF THE TRUST FUND (INCLUDING THE CHURCH FUND IN THE EVENT THAT THIS SHALL DETERMINE) FOR SCHOLARSHIPS FOR PUPILS OF RUGBY SCHOOL, RUGBY, WARWICKSHIRE CV 22 5DH ("RUGBY") PURSUANT TO CLAUSE 9 OF THE WILL, CONDITIONALLY INTER ALIA ON RUGBY RETAINING ITS CHARITABLE STATUS.3. IN THE EVENT THAT THE GIFT TO RUGBY SHALL DETERMINE, TO HOLD THE TRUST FUND SIMILARLY FOR THE BENEFIT OF THE QUEEN'S COLLEGE OF ST MARGARET AND ST BERNARD IN THE UNIVERSITY OF CAMBRIDGE CB3 9ET ("QUEENS' COLLEGE") PURSUANT TO CLAUSE 9.6 OF THE WILL.4. IN THE EVENT THAT THE GIFTS TO BOTH RUGBY AND QUEENS' COLLEGE SHALL DETERMINE, TO APPLY THE INCOME OF THE TRUST FUND ON THE PRESERVATION AND REPAIR OF OF ANCIENT, HISTORIC OR ECCLESIASTICAL BUILDINGS IN THE GAINSBOROUGH AREA OR BUILDINGS OF PARTICULAR ARCHITECTURAL INTEREST PURSUANT TO CLAUSE 9.7 OF THE WILL.
